Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and REAgent App, LLC ("REAgent App," "we," "us," or "our"). By creating an account, accessing, or using our platform, you agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Description of Service

REAgent App provides a real estate productivity platform that facilitates buyer onboarding, questionnaire workflows, and document signing for real estate professionals and their clients. Our services include web and mobile applications, APIs, and related tools.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. By using REAgent App, you represent and warrant that you meet these requirements.

4. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with, disrupt, or compromise the integrity or security of the platform
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Use the platform to transmit harmful, fraudulent, or deceptive content
  • Reverse engineer, decompile, or disassemble any part of the service
  • Use automated means (bots, scrapers) to access the service without our written consent

6. Document Signing and Transactions

REAgent App facilitates the execution of documents between parties but does not provide legal, financial, or real estate advice. You acknowledge that:

  • Documents signed through our platform are legally binding agreements between the signing parties.
  • You are solely responsible for reviewing and understanding any document before signing.
  • We are not a party to any agreement signed through the platform.
  • We do not verify the legal sufficiency or enforceability of documents processed through our service.

7. Intellectual Property

All content, features, and functionality of the REAgent App platform — including but not limited to text, graphics, logos, software, and design — are owned by REAgent App, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. User Content

You retain ownership of content you submit through the platform (such as questionnaire responses and uploaded documents). By submitting content, you grant us a limited license to store, process, and display that content as necessary to provide our services.

9. Fees and Payment

Certain features of REAgent App may require a paid subscription. If applicable:

  • Fees are billed in advance on a recurring basis as described at the time of purchase.
  • All fees are non-refundable except as required by law or as expressly stated in these Terms.
  • We reserve the right to change pricing with reasonable notice.
  • Failure to pay may result in suspension or termination of your account.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REAgent App, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless REAgent App, LLCand its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the service or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the service at any time, with or without cause, and with or without notice. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and intellectual property) will survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the service after changes are posted constitutes acceptance of the revised Terms.
